Terms of Use

1. Acceptance of Terms

By accessing, browsing, registering for, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these terms of Use ("Terms"). If you do not agree to these Terms, you must immediately cease all use of the Platform.

These Terms of Service (the "Terms") govern your access to and use of www.houzgpt.ca and any related services, features, content, or functionality made available by HouzGPT.ca ("HouzGPT", "we", "us", or "our") (collectively, the "Platform").

2. No Agency, No Representation, and No Brokerage Relationship

Your access to or use of the Platform does not create, and shall not be construed as creating, a real estate brokerage relationship, agency relationship, fiduciary relationship, representation agreement, partnership, joint venture, employment relationship, or any financial obligation between you and HouzGPT.

No buyer representation agreement, seller representation agreement, tenant representation agreement, landlord representation agreement, or other contractual brokerage relationship is formed through acceptance of these Terms or use of the Platform. Any such relationship must be established separately in a written agreement that expressly identifies the parties and the nature of the representation in accordance with applicable Ontario law.

3. Nature and Purpose of the Platform

The Platform operates solely as a technology-enabled information interface designed to retrieve, process, summarize, and present real estate-related data from third-party sources, including MLS® data and publicly available information. HouzGPT does not create original listing data and does not independently verify the completeness, timeliness, or accuracy of third-party information.

All content provided through the Platform is for general informational purposes only and is made available on an "as is" and "as available" basis. Use of the Platform does not create any agency, fiduciary, or representation relationship with HouzGPT or any of its affiliates.

All real estate services are provided exclusively by licensed real estate professionals ("Licensed Professionals") who are responsible for their own compliance with applicable law.

By submitting inquiries or using the Platform, you consent to be contacted by a Licensed Professional for the purpose of providing real estate services. Any agency, representation, or fiduciary relationship arises only upon execution of a written agreement between you and the Licensed Professional.

You acknowledge that you may be contact by a Licensed Professionals for follow-up and that HouzGPT itself does not provide advice, negotiate, or manage transactions.

4. MLS® Data and Ontario VOW Participation

The Platform operates exclusively within Ontario, Canada, and functions as a Virtual Office Website ("VOW") participant authorized to display MLS® listing data in Ontario through PropTx and the Toronto Regional Real Estate Board ("TRREB"), in accordance with applicable MLS® Rules and VOW Policies.

Access to MLS® data is provided solely for your personal, non-commercial use and only if you have a bona fide interest in the purchase, sale, or lease of real property in Ontario. You agree that you shall not copy, redistribute, retransmit, publish, sell, sublicense, scrape, data mine, or otherwise exploit MLS® data for commercial purposes. You further agree not to use automated systems, scripts, bots, crawlers, or similar technologies to extract or collect MLS® data.

MLS® data accessed through the Platform may not be stored, reorganized, summarized, manipulated, or repurposed except for your lawful personal use in connection with a contemplated real estate transaction.

5. PropTx and TRREB Proprietary Rights

You acknowledge and agree that PropTx and TRREB maintain ownership of and proprietary rights in the MLS® database, MLS® data, MLS® system, and associated listing information. MLS® information is deemed reliable but is not guaranteed by PropTx or TRREB.

PropTx, TRREB, and their authorized representatives are expressly permitted to access the Platform and VOW environment for the purpose of auditing, monitoring, and verifying compliance with MLS® Rules, VOW requirements, and applicable policies. Your continued use of the Platform constitutes acknowledgment of such oversight rights.

6. No Advice; No Reliance

The Platform does not provide real estate advice, legal advice, financial advice, investment advice, tax advice, or transactional guidance. You expressly acknowledge that information displayed on the Platform, including analytics, summaries, market commentary, or AI-generated outputs, may contain errors, omissions, inaccuracies, or outdated information and may change without notice.

You agree that no content available on the Platform shall be relied upon as a substitute for consultation with a licensed Ontario real estate professional or, where appropriate, qualified legal, financial, or tax advisors. HouzGPT does not recommend, endorse, advise, or opine on specific transactions, pricing strategies, valuations, market timing, negotiation strategies, contractual terms, regulatory matters, or investment decisions.

7. Mandatory Professional Consultation

Any real estate transaction in Ontario should be conducted with the involvement of a Licensed Professional. The Platform is not a substitute for professional representation. You agree not to use the Platform as the sole basis for making real estate, financial, legal, or investment decisions.

The Platform is intended exclusively for users with a bona fide interest in real estate transactions in Ontario. Use of the Platform for commercial purposes, marketing, data mining, or other non-personal purposes is strictly prohibited.

8. Artificial Intelligence Disclaimer

The Platform may incorporate artificial intelligence, machine learning models, and automated systems to analyze, summarize, interpret, or present information. You acknowledge that AI-generated outputs may be inaccurate, incomplete, misleading, or outdated, and are generated based on patterns in available data rather than professional judgment.

AI outputs do not constitute advice, recommendations, or professional opinions. Automated systems may misinterpret user inputs, contextual information, or underlying data sources. You assume full responsibility for independently verifying any information generated through AI features before acting. HouzGPT assumes no liability for reliance on AI-generated outputs.

9. Limitation of Liability

To the fullest extent permitted by applicable law, HouzGPT, its owners, officers, directors, employees, affiliates, contractors, licensors, and data providers shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your use of, or inability to use, the Platform.

Without limiting the foregoing, HouzGPT disclaims liability for any losses, damages, costs, or consequences arising from reliance on MLS® data, analytics, summaries, third-party content, AI-generated outputs, or any information presented through the Platform. All use of the Platform is undertaken entirely at your own risk.

10. Personal Information and Consent

By using the Platform, you consent to the collection, use, and disclosure of your Personal Information in accordance with our Privacy Policy. Personal Information may be shared with PropTx and TRREB strictly for auditing, compliance, and legal purposes, and may be disclosed to Licensed Professionals where you submit an inquiry or request assistance.

11. Intellectual Property

All content, design elements, interface features, text, graphics, software code, databases, and proprietary functionality of the Platform are owned by or licensed to HouzGPT and are protected by applicable copyright, trademark, and intellectual property laws. Unauthorized reproduction, redistribution, modification, or commercial exploitation is strictly prohibited.

MLS® listing content is intended solely for personal, non-commercial use. Certain content may be licensed from third parties and remains the property of its respective owners.

12. Trademarks

• REALTOR®, REALTORS®, and the REALTOR® logo are trademarks controlled by The Canadian Real Estate Association (CREA) and identify real estate professionals who are CREA members.
• MLS®, Multiple Listing Service®, and associated logos are trademarks of CREA.
• HouzGPT uses these trademarks under license for informational purposes only.
• Real estate data is provided courtesy of PROPTX. While deemed reliable, it is not guaranteed to be accurate.

All MLS® data is intended solely for personal, non-commercial use by consumers with a bona fide interest in buying, selling, or leasing real estate in Ontario. Unauthorized copying, redistribution, scraping, or commercial use is strictly prohibited.

13. Third-Party Content

The Platform may display or link to third-party content. HouzGPT does not control and assumes no responsibility for the accuracy, legality, or reliability of third-party materials. Access to third-party content is at your own risk.

14. Access, Security, and Enforcement

HouzGPT reserves the right to restrict, suspend, or terminate access to the Platform at its sole discretion, including in cases of suspected misuse, violation of these Terms, or breach of MLS® or VOW rules. Unauthorized use of the Platform may result in civil or criminal liability. You are responsible for maintaining the confidentiality of any account credentials associated with your access.

15. Governing Law and Jurisdiction

These Terms shall be governed exclusively by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Ontario.

16. Indemnification

You agree to indemnify, defend, and hold harmless HouzGPT, its directors, officers, employees, contractors, affiliates, licensors, data providers, and agents from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses, including reasonable legal fees and disbursements, arising out of or relating to your use of the Platform, your breach of these Terms, your violation of applicable laws or regulations, your misuse of MLS® data or VOW access, your reliance on AI-generated outputs, or your infringement of any intellectual property or other rights of any third party.

HouzGPT reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully in the defense of such matter.
